Terms of Service Technology Platform User Agreement

1. Acceptance of Terms

By accessing or using the X9Trader platform ("Platform"), services, or website operated by X9 Fintech Solutions FZC ("Company", "we", "us", or "our"), you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Platform.

These Terms constitute a legally binding agreement between you and X9 Fintech Solutions FZC, a company incorporated under the laws of the United Arab Emirates.

2. Description of Services

X9Trader is a technology platform that provides software solutions and tools, including:

• Trading platform software and user interfaces
• Real-time data feeds and market information display
• Charting tools and technical analysis features
• API connectivity and integration services
• Platform customization and configuration tools
• Technical support and maintenance services

Our services are intended for licensed brokers, financial institutions, and technology users who require trading platform software solutions.

2.1 Regulatory Classification

For the avoidance of doubt, X9 Fintech Solutions FZC is not registered with, nor is it required to be registered with, the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), the Commodity Futures Trading Commission (CFTC), the Canadian Investment Regulatory Organization (CIRO, formerly IIROC), the Ontario Securities Commission (OSC), the Canadian Securities Administrators (CSA), or any other financial services regulatory authority, as it does not engage in any activity requiring such registration.

All financial trading services accessible through the X9Trader interface are provided exclusively by independent, separately licensed brokers. Users are responsible for ensuring that any broker they connect to through the X9Trader platform holds the appropriate regulatory licenses for their jurisdiction.

3. User Eligibility and Account Registration

3.1 Eligibility Requirements

To use our Platform, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding agreements
• Not be a resident of any jurisdiction where the use of trading platform software of this nature is prohibited by applicable law
• Comply with all applicable laws and regulations in your jurisdiction
• Provide accurate and complete information during registration

Users are solely responsible for determining whether use of the X9Trader platform is lawful in their jurisdiction. X9Trader does not provide access to financial trading services directly — such services are provided by independently licensed brokers, and those brokers are responsible for determining user eligibility and jurisdictional compliance.

3.2 Account Registration

Platform access requires:

• Completion of our registration process
• Verification of identity for business users
• Acceptance of these Terms and our Privacy Policy
• Compliance with our platform usage policies

4. User Obligations and Prohibited Activities

4.1 User Obligations

You agree to:

• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized access to your account
• Provide accurate and up-to-date information
• Comply with all applicable laws and regulations
• Use the Platform only for legitimate technology purposes
• Pay all applicable fees and charges
• Respect our intellectual property rights

4.2 Prohibited Activities

You may not:

• Attempt to reverse engineer, hack, or compromise our systems
• Share your account with unauthorized third parties
• Use the Platform for illegal activities
• Violate any applicable laws or regulations
• Interfere with the proper functioning of the Platform
• Access areas of the Platform you are not authorized to use
• Distribute malware or engage in cyberattacks

5. Technology Platform Terms

5.1 Platform Availability

While we strive for high availability, our Platform may experience:

• Scheduled maintenance and updates
• Temporary outages due to technical issues
• Performance variations during high usage periods
• Feature limitations during system upgrades

5.2 User Responsibilities

X9Trader provides software infrastructure only. All financial trading services, including but not limited to account opening, fund custody, trade execution, order routing, margin lending, and regulatory compliance, are provided exclusively by independent licensed brokers that users connect to through the X9Trader interface. X9Trader is not a party to any financial transaction between a user and their broker.

Brokers using the X9Trader platform are solely responsible for:

• Obtaining appropriate financial services licenses in all jurisdictions where they operate
• Implementing proper client fund segregation and protection
• Conducting KYC/AML verification of their clients
• Maintaining regulatory compliance in all applicable jurisdictions
• Providing all required risk disclosures to their clients
• Meeting all legal obligations in their jurisdiction

6. Broker Relationship and Third-Party Financial Services

6.1 Nature of the Relationship

X9Trader operates as a software interface layer between users and independently licensed financial brokers. The relationship between X9Trader, the user, and the broker is as follows:

• X9Trader provides the software platform, user interface, charting tools, and API connectivity. X9Trader is a technology vendor only.
• The Broker is an independently licensed and regulated financial services entity that holds the user's trading account, manages client funds, executes trades, and is responsible for all regulatory compliance.
• The User connects their existing broker account to the X9Trader interface. The user's financial relationship is with the broker, not with X9Trader.

6.2 No Financial Services Provided by X9Trader

X9Trader does not provide, and should not be construed as providing, any financial service in connection with the use of the platform. X9Trader does not:

• (a) hold, receive, transmit, or control any user funds or assets;
• (b) open trading accounts or conduct KYC/AML verification;
• (c) execute, clear, or settle any trade or transaction;
• (d) act as counterparty to any transaction;
• (e) provide investment advice, trading signals, or financial recommendations; or
• (f) determine which financial instruments are available to any user.

6.3 User Responsibility to Verify Broker Licensing

Users are solely responsible for ensuring that any broker they connect to through the X9Trader platform is properly licensed and authorized to provide financial services in the user's jurisdiction. X9Trader makes no representation or warranty regarding the regulatory status of any broker. X9Trader is not liable for any losses, regulatory penalties, or legal consequences arising from a user's choice of broker or from any broker's failure to maintain appropriate licenses.

7. Fees and Charges

Our fee structure for technology services includes:

• Platform access and licensing fees
• API usage and data feed charges
• Customization and integration services
• Technical support and maintenance fees
• Premium feature subscriptions

All fees are clearly disclosed in your service agreement. We reserve the right to modify our fee structure with 30 days' notice.

8. Intellectual Property Rights

The X9Trader platform, including all software, content, trademarks, and intellectual property, is owned by X9 Fintech Solutions FZC or our licensors. You are granted a limited, non-exclusive, non-transferable license to use our Platform solely for the purposes outlined in your service agreement.

You may not copy, modify, distribute, or create derivative works of our Platform without express written permission.

9. Limitation of Liability

Our total liability to you for any claims arising from these Terms or your use of the Platform shall not exceed the amount of fees paid by you to us in the 12 months preceding the claim.

10. Account Suspension and Termination

We may suspend or terminate your account at any time for:

• Violation of these Terms
• Suspicious or fraudulent activity
• Security concerns
• Extended account inactivity
• Non-payment of fees
• Misuse of our technology platform

Upon termination, you must cease using our platform and may be required to return or destroy any proprietary materials.

11. Data Protection and Privacy

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which forms part of these Terms.

By using our Platform, you consent to the processing of your data as described in our Privacy Policy.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be resolved through arbitration in Dubai under the Dubai International Arbitration Centre (DIAC) rules.

12.2 Complaint Procedure

If you have a complaint about our technology services, please contact our support team at [email protected]. We will investigate and respond within 15 business days.

13. Modifications to Terms

We may modify these Terms at any time by posting the updated version on our website. Material changes will be communicated via email or platform notification at least 30 days before taking effect.

Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.
